Welcome to Onboard Marketing ("we", "our", or "us"). These Terms and Conditions govern your use of our website and the marketing services we provide. By accessing our website or engaging our services, you agree to these Terms and Conditions.

1. Our Services

Onboard Marketing provides a range of digital marketing and creative services including digital marketing strategy, Google Ads management, Meta (Facebook and Instagram) advertising, Search Engine Optimisation (SEO), website design and development, graphic design, branding, content creation, social media management, email marketing, marketing consulting, and analytics and reporting.

The scope of work for each project will be outlined in a proposal, quotation, agreement, or email confirmation before work begins.

2. Quotes and Proposals

Unless otherwise stated: quotes are valid for 30 days; prices are in New Zealand Dollars (NZD) and exclude GST unless specified; any additional work outside the agreed scope may incur additional charges; changes requested after approval may be charged at our standard hourly rate or quoted separately.

3. Client Responsibilities

Clients agree to provide accurate information, supply requested content and assets promptly, review work within a reasonable timeframe, obtain permission to use any content they provide, and ensure all supplied information is accurate and lawful. Delays in receiving required information may impact project timelines.

4. Revisions

Unless otherwise agreed in writing, project pricing includes a reasonable number of revisions. Additional revisions, redesigns, or changes beyond the agreed scope may incur additional fees.

5. Payment Terms

Invoices are payable within the timeframe stated on the invoice unless otherwise agreed. Failure to pay invoices may result in suspension of services, delayed project delivery, suspension of advertising campaigns, or recovery of outstanding debt, including reasonable collection costs where applicable. Ownership of completed work remains with Onboard Marketing until payment has been received in full.

6. Ongoing Marketing Services

For ongoing marketing retainers: fees are billed monthly unless otherwise agreed; monthly retainers cover the agreed services only; work outside the agreed scope may be quoted separately; either party may terminate the agreement by providing the agreed notice period, unless otherwise specified in the service agreement.

7. Advertising Spend

Advertising budgets paid to third-party platforms (including Google, Meta, LinkedIn, TikTok, or others) are separate from our management fees, are paid directly to the advertising platform unless otherwise agreed, and are non-refundable once spent. We cannot guarantee advertising performance, lead volume, or return on investment.

8. Results Disclaimer

Marketing outcomes depend on many factors beyond our control, including market conditions, competition, consumer behaviour, product or service quality, pricing, sales processes, and advertising platform algorithms. While we apply industry best practices and strategic expertise, we do not guarantee specific rankings, sales, enquiries, revenue, or return on investment.

9. Intellectual Property

Unless otherwise agreed, all concepts, strategies, creative work, advertising campaigns, designs, and marketing materials remain the intellectual property of Onboard Marketing until paid for in full. Upon full payment, ownership of final approved deliverables transfers to the client, excluding any licensed third-party assets, fonts, stock imagery, software, or proprietary systems. We reserve the right to display completed work in our portfolio, marketing materials, social media, and case studies unless otherwise agreed in writing.

10. Website Projects

Website projects may include third-party software, plugins, themes, hosting, or integrations. Unless included within an ongoing support agreement, future updates, maintenance, security monitoring, hosting fees, plugin renewals, and technical support are not included.

11. Third-Party Platforms

Our services rely on third-party platforms including Google, Meta, LinkedIn, TikTok, email marketing providers, hosting providers, and analytics software. We are not responsible for platform outages, account suspensions, changes to advertising policies, algorithm updates, third-party software failures, or service interruptions outside our control.

12. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties except where required to provide services or by law.

13. Limitation of Liability

To the fullest extent permitted by New Zealand law, Onboard Marketing shall not be liable for loss of profits, loss of revenue, loss of business opportunities, indirect or consequential losses, data loss, website downtime, or advertising platform interruptions. Our total liability for any claim relating to our services shall not exceed the fees paid by the client for the relevant services giving rise to the claim.

14. Termination

Either party may terminate a project or ongoing agreement by providing written notice in accordance with any agreed notice period. Upon termination, outstanding invoices become immediately payable, completed work will be supplied once payment has been received, and any prepaid third-party advertising spend remains subject to the platform's own refund policies.

15. Website Use

By using our website, you agree not to use the website unlawfully, attempt to gain unauthorised access to our systems, upload malicious software, or copy or reproduce website content without written permission.

16. Privacy

Your use of our website is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

17. Governing Law

These Terms and Conditions are governed by the laws of New Zealand. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the New Zealand courts.

18. Changes to These Terms

We may update these Terms and Conditions from time to time. The latest version will always be published on our website with the updated effective date.
